Introduction :- Welcome to ‘SCINT TECHNOLOGY’. These Terms and Conditions (“T&C”) govern the provision of services by ‘SCINT TECHNOLOGY’ (“Company,” “we,” “us,” or “our”) to you (“Client,” “you,” or “your”). By engaging our services, you agree to these T&C.
Definitions:-
- Client: The individual or entity requesting services.
- Services: Website design, development, and related services provided by the Company.
- Deliverables: The final work product delivered to the Client.
- Confidential Information: Any non-public information disclosed by either party.
Services Provided:- We offer services including, but not limited to, website design, development, maintenance, and hosting. Services not explicitly listed are excluded unless agreed upon in writing.
Client Responsibilities:- The Client agrees to provide all necessary information, content, and approvals in a timely manner. The Client is responsible for ensuring that any materials provided do not infringe third-party rights.
Project Timeline and Milestones:- Projects will be completed according to the timeline and milestones agreed upon in the project proposal. Delays caused by the Client may result in adjusted delivery dates.
Payment Terms:- Our services are provided at a [fixed fee/hourly rate/retainer]. Payment is due according to the schedule outlined in the project proposal.
Intellectual Property Rights:- The Client retains ownership of all provided content. Upon full payment, the Company grants the Client a license to use the final deliverables. The Company retains ownership of any pre-existing intellectual property and third-party licenses used.
Confidentiality:- Both parties agree to maintain the confidentiality of any disclosed non-public information. Confidential information will be returned or destroyed upon request.
Revisions and Changes:- Revisions requested by the Client will be addressed as per the project scope. Additional changes may incur extra fees and extend project timelines.
Termination:- Either party may terminate the agreement with 30 days’ notice. In the event of termination, the Client is responsible for payment for services rendered up to the termination date.
Limitation of Liability:- The Company’s liability is limited to the amount paid by the Client for the services. We are not liable for indirect, incidental, or consequential damages.
Indemnification:- The Client agrees to indemnify the Company against any third-party claims arising from the Client’s use of the deliverables. The Company agrees to indemnify the Client for any claims arising from our breach of these T&C.
Dispute Resolution:- Any disputes will be resolved through [mediation/arbitration]. The dispute shall be governed by Arbitration and Conciliation Act, 1996 and other applicable laws.
Amendments:- We may update these T&C from time to time. Changes will be communicated to the Client, and continued use of our services constitutes acceptance of the new terms.
Miscellaneous:-
- Force Majeure: Neither party is liable for delays caused by unforeseen events beyond their control.
- Assignment: The Client may not transfer their rights under these T&C without our written consent.
- Entire Agreement: These T&C constitute the entire agreement between the parties regarding the services provided.
